These Terms of Service (“Terms”) govern access to and use of the GameRebellion platform, including analytics, attribution, sentiment analysis, dashboards, APIs, SDKs, and related services (collectively, the “Services”), provided by GameRebellion Network Inc. (“GameRebellion”, “we”, “us”, or “our”).
By creating an account, accessing, or using the Services, you (“Client” or “you”) agree to be bound by these Terms. If you do not agree, you may not use the Services.
“Account” means a registered workspace or subscription associated with a Client.
“Client” means the legal entity or individual using the Services.
“Events” means usage data generated through SDKs, APIs, or integrations and counted toward subscription limits.
“Subscription” means a paid or free plan governing access, limits, and pricing.
“Usage Limits” means the monthly Event allowance associated with a Subscription.
“Order Form” means any written agreement, online checkout, or executed statement specifying pricing and terms.
2.1 Nature of Services: The Services provide analytics, insights, attribution indicators, and related outputs derived from Client-provided data and system-generated signals.
2.2 No Guaranteed Outcomes: All analytics outputs, metrics, benchmarks, attribution signals, and insights are indicative, probabilistic, and informational only. They do not constitute factual determinations, financial advice, business guarantees, or performance commitments.
2.3 Evolving Methodologies: Metric definitions, calculation logic, attribution models, and analytical methodologies may change over time without notice. Historical results may be recalculated or differ across versions.
2.4 Client Risk Acknowledgment: Business decisions made using the Services are made at Client’s sole risk.
3.1 Client is responsible for all activity conducted under its Account.
3.2 Client must ensure only authorized personnel can modify billing, approve overages, or change plans.
3.3 Client shall not: - Manipulate or falsify Event data - Circumvent usage limits or pricing mechanisms - Reverse engineer or interfere with platform safeguards - Use the Services to provide regulated financial, legal, or medical advice
4.1 Plans & Pricing: Plans, pricing, and Usage Limits are described in applicable pricing pages or Order Forms. In case of conflict, the Order Form controls. All fees are exclusive of taxes. Client is responsible for all applicable taxes.
4.2 Billing Cycle & Auto-Renewal Subscriptions are billed in advance on a monthly or annual basis, as selected. Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date through the Account or in writing. Renewals are charged at the then-current applicable rate.
4.3 Annual Subscription Cancellation: If a Client cancels an annual Subscription mid-term: - The Subscription remains active until the end of the prepaid annual term. - The Subscription will not renew. - No refunds are provided. - If the Client received a discounted annual rate compared to equivalent monthly pricing, GameRebellion reserves the right to retroactively adjust pricing to reflect the standard monthly rate for the period used and invoice the difference.
4.4 Usage-Based Charges & Overage: Usage-based fees are billed in arrears. Event counters reset each billing cycle. Displayed overage estimates are projections only and may vary from final invoiced amounts.
4.5 Payment Processing (Stripe): Payments are processed through Stripe, Inc. (“Stripe”), a third-party payment processor. By providing payment information, Client authorizes GameRebellion and Stripe to charge the designated payment method in accordance with the applicable Subscription. Stripe’s terms and privacy policy apply to payment processing. GameRebellion is not responsible for Stripe outages, errors, security incidents, or processing delays. Client must maintain accurate and current payment information.
4.6 Failed Payments: If payment fails, GameRebellion may retry charges consistent with Stripe’s retry mechanisms. If payment remains unpaid, GameRebellion may suspend or terminate access to the Services.
4.7 Chargebacks: If Client initiates a chargeback or payment dispute: - GameRebellion may immediately suspend access. - Client remains responsible for all undisputed charges. - Client shall reimburse GameRebellion for any chargeback fees imposed by Stripe. - A chargeback does not terminate the Subscription.
4.8 Billing Disputes: Billing disputes must be submitted in writing within thirty (30) days of invoice issuance. Failure to dispute within this period constitutes acceptance.
Except as required by applicable law: - All Subscription fees are non-refundable. - No refunds are provided for partial billing periods. - No refunds are provided for unused Events or features. - No refunds are provided for annual Subscriptions cancelled mid-term. - Billing errors or duplicate charges may be corrected at GameRebellion’s discretion if reported within thirty (30) days.
6.1 Events are counted according to GameRebellion’s internal validation and processing logic.
6.2 Raw ingested data may differ from billable Event counts.
6.3 When Usage Limits are exceeded, access to dashboards, APIs, exports, or features may be restricted.
6.4 GameRebellion may throttle or restrict usage to protect platform stability.
6.5 GameRebellion does not guarantee uninterrupted ingestion, retention, or visibility of all Events.
7.1 Processing of personal data is governed by the applicable Privacy Policy and Data Processing Agreement (DPA).
7.2 Client is responsible for lawful data collection and sharing.
7.3 GameRebellion processes data solely to provide and improve the Services.
Upon termination or cancellation: - Client data will be retained for sixty (60) days. - Data export is permitted only while a Subscription remains active. - After sixty (60) days, data may be permanently deleted without further notice. - GameRebellion has no obligation to maintain or restore deleted data.
The Services are provided on an “as available” and “as is” basis. Unless expressly agreed in a signed Order Form, GameRebellion does not provide any service level agreement (SLA), uptime guarantee, availability commitment, or service credit mechanism. Temporary interruptions, maintenance, infrastructure failures, or third-party outages do not constitute breach.
All intellectual property rights in the Services remain the exclusive property of GameRebellion. Client receives a limited, non-exclusive, non-transferable right to use the Services during an active Subscription. [email protected]
Each party agrees to protect the other’s confidential information and use it solely for purposes of the Services.
12.1 GameRebellion warrants that it will provide the Services in a commercially reasonable manner consistent with generally accepted SaaS industry standards.
12.2 Except as expressly stated, the Services are provided “as is” and “as available.” GameRebellion disclaims all implied warranties, including accuracy, completeness, fitness for a particular purpose, non-infringement, and uninterrupted availability.
13.1 Neither party shall be liable for indirect, incidental, consequential, special, punitive, or lost profit damages.
13.2 Except for indemnification obligations or willful misconduct, each party’s total liability shall not exceed the fees paid or payable by Client in the twelve (12) months preceding the claim.
13.3 The parties acknowledge this limitation reflects a negotiated allocation of risk.
14.1 Client shall indemnify and hold harmless GameRebellion from claims arising from Client data, misuse of the Services, or violation of law.
14.2 GameRebellion's IP infringement indemnification obligations constitute Client's exclusive remedy for such claims.
15.1 GameRebellion may suspend access for non-payment, security risks, legal requirements, or material misuse.
15.2 Termination or suspension does not entitle Client to refunds except where required by law.
15.3 Provisions relating to billing, liability, indemnification, disclaimers, and governing law survive termination.
Neither party shall be liable for delays or failures caused by events beyond reasonable control, including infrastructure outages, payment processor failures, cyberattacks, natural disasters, labor disputes, or government actions.
These Terms are governed by the laws of the Province of Quebec, Canada.
Any disputes arising from these Terms shall be resolved exclusively in the courts located in Montreal, Quebec, Canada.
